The website located at grandmaruth.lovable.app (the "Site") is a copyrighted work belonging to Luma Voice AI ("Company", "us", "our", and "we"). Grandma Ruth is a product and service offered by Luma Voice AI. Certain features of the Site may be subject to additional guidelines, terms, or rules, which will be posted on the Site in connection with such features. All such additional terms, guidelines, and rules are incorporated by reference into these Terms.

THESE TERMS OF USE ("TERMS") SET FORTH THE LEGALLY BINDING TERMS AND CONDITIONS THAT GOVERN YOUR USE OF THE SITE AND THE GRANDMA RUTH AI COMPANION SERVICE. BY ACCESSING OR USING THE SITE OR SERVICE, YOU ARE ACCEPTING THESE TERMS ON BEHALF OF YOURSELF OR THE ENTITY YOU REPRESENT. YOU MUST BE AT LEAST 18 YEARS OLD TO USE THIS SITE. IF YOU DO NOT AGREE WITH ALL PROVISIONS OF THESE TERMS, DO NOT ACCESS OR USE THE SITE.

PLEASE READ SECTION 9.2 CAREFULLY. IT CONTAINS AN AGREEMENT TO ARBITRATE DISPUTES, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER.

1. Accounts

1.1 Account Creation

To access certain features of the Site and the Grandma Ruth AI Companion service, you must register for an account and provide accurate information as prompted during registration. You represent and warrant that all registration information you submit is truthful and accurate, and you agree to maintain the accuracy of such information. You may delete your account at any time by following the instructions on the Site. Luma Voice AI may suspend or terminate your account in accordance with Section 8.

1.2 Account Responsibilities

You are responsible for maintaining the confidentiality of your account login credentials and are fully responsible for all activities that occur under your account. You agree to immediately notify Luma Voice AI of any unauthorized use or suspected unauthorized use of your account. Luma Voice AI cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.

2. Access to the Site and Service

2.1 License

Subject to these Terms, Luma Voice AI grants you a non-transferable, non-exclusive, revocable, limited license to access and use the Site and the Grandma Ruth AI Companion service solely for your own personal, non-commercial use.

2.2 Restrictions

The rights granted to you are subject to the following restrictions: (a) you shall not license, sell, rent, lease, transfer, assign, distribute, host, or otherwise commercially exploit the Site or the Grandma Ruth service; (b) you shall not modify, make derivative works of, disassemble, reverse compile, or reverse engineer any part of the Site or service; (c) you shall not access the Site or service to build a similar or competitive product; and (d) except as expressly stated herein, no part of the Site may be copied, reproduced, distributed, republished, downloaded, displayed, posted, or transmitted in any form or by any means.

2.3 Nature of the Service

Grandma Ruth is an artificial intelligence phone companion designed exclusively for friendly conversation and emotional companionship. The service is not a medical service, mental health service, crisis intervention service, emergency service, or licensed professional service of any kind. Grandma Ruth does not provide medical advice, psychological counseling, legal advice, financial advice, or any professional guidance. If you or someone you know is experiencing a medical or mental health emergency, please call 911 or contact a qualified professional immediately.

2.4 Modifications

Luma Voice AI reserves the right, at any time, to modify, suspend, or discontinue the Site or the Grandma Ruth service, in whole or in part, with or without notice. Luma Voice AI will not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

2.5 Ownership

All intellectual property rights, including copyrights, patents, trademarks, and trade secrets in the Site, the Grandma Ruth service, and all related content are owned by Luma Voice AI or its licensors. These Terms do not transfer any intellectual property rights to you. All rights not expressly granted are reserved.

2.6 Feedback

If you provide Luma Voice AI with any feedback or suggestions regarding the Site or the Grandma Ruth service, you hereby assign to Luma Voice AI all rights in such feedback. Luma Voice AI may use and exploit such feedback in any manner it deems appropriate without compensation to you.

3. Subscriptions and Billing

3.1 Subscription Plans

Access to the Grandma Ruth AI Companion service requires a paid subscription. The following plans are currently offered: Comfort Plan ($29/month): Includes up to 200 minutes of conversation per month and a 7-day free trial for new monthly subscribers. Loving Care Plan ($49/month): Includes unlimited minutes of conversation per month. Additional plans and pricing may be offered and are subject to these Terms.

3.2 Free Trial

New subscribers to the Comfort Plan monthly subscription are eligible for a 7-day free trial. A valid payment method is required to begin the free trial. If you do not cancel before the trial period ends, your payment method will be automatically charged the applicable subscription fee. You may cancel at any time before the trial ends to avoid charges.

3.3 Billing

By subscribing to the Grandma Ruth service, you authorize Luma Voice AI to charge your payment method on a recurring basis at the applicable subscription rate. Subscription fees are charged at the beginning of each billing period. All fees are in US Dollars and are non-refundable except as expressly stated in these Terms.

3.4 Cancellations

You may cancel your subscription at any time through the customer portal accessible via the Site. Cancellation takes effect at the end of your current billing period. You will continue to have access to the service until the end of the paid period. Luma Voice AI does not provide refunds for partial billing periods.

3.5 Minute Limits

Subscribers on the Comfort Plan are limited to 200 minutes of conversation per calendar month. If you reach your monthly limit, access to Grandma Ruth will be suspended until the next billing cycle begins. Subscribers on the Loving Care Plan have no monthly minute limit. Luma Voice AI reserves the right to modify minute limits with advance notice to subscribers.

4. Indemnification

You agree to indemnify and hold Luma Voice AI and its officers, employees, and agents harmless, including costs and attorneys' fees, from any claim or demand made by any third party due to or arising out of your use of the Site or the Grandma Ruth service, your violation of these Terms, or your violation of applicable laws or regulations.

5. Third-Party Links and Services

The Site may contain links to third-party websites and services. Such links are not under the control of Luma Voice AI, and Luma Voice AI is not responsible for any third-party content. You use all third-party links at your own risk.

6. Disclaimers

THE SITE AND THE GRANDMA RUTH SERVICE ARE PROVIDED ON AN "AS-IS" AND "AS AVAILABLE" BASIS. LUMA VOICE AI AND ITS SUPPLIERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTY THAT THE SERVICE WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS.

GRANDMA RUTH IS AN AI COMPANION SERVICE FOR CONVERSATIONAL PURPOSES ONLY. IT IS NOT A SUBSTITUTE FOR HUMAN CONNECTION, PROFESSIONAL MENTAL HEALTH SERVICES, MEDICAL CARE, OR EMERGENCY SERVICES. LUMA VOICE AI MAKES NO REPRESENTATIONS REGARDING THE ACCURACY, COMPLETENESS, OR SUITABILITY OF ANY CONVERSATIONS OR INFORMATION PROVIDED BY THE GRANDMA RUTH AI.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMA VOICE AI AND ITS SUPPLIERS SHALL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST DATA, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SITE OR THE GRANDMA RUTH SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMA VOICE AI'S TOTAL LIABILITY TO YOU FOR ANY DAMAGES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO LUMA VOICE AI IN THE THREE MONTHS PRECEDING THE CLAIM.

8. Term and Termination

These Terms will remain in effect while you use the Site and the Grandma Ruth service. Luma Voice AI may suspend or terminate your access at any time for any reason at its sole discretion, including for any violation of these Terms. Upon termination, your account and right to access the service will terminate immediately.

9. General

9.1 Changes

Luma Voice AI reserves the right to revise these Terms at any time. We will notify you of material changes by email or by posting a notice on the Site. Your continued use of the Site or service following such notice constitutes your acceptance of the updated Terms.

9.2 Dispute Resolution

You agree that any dispute between you and Luma Voice AI relating to the Site, the Grandma Ruth service, or these Terms will be resolved by binding arbitration rather than in court, except for claims that qualify for small claims court. This Arbitration Agreement requires individualized arbitration — you may not bring claims as a plaintiff or class member in any class action. You have the right to opt out of this Arbitration Agreement by sending written notice to lumavoiceai@gmail.com within 30 days of first accepting these Terms.

9.3 Governing Law

These Terms are governed by the laws of the United States and the state in which Luma Voice AI operates, without regard to conflict of law principles.

9.4 Electronic Communications

By using the Site and the Grandma Ruth service, you consent to receive communications from Luma Voice AI electronically, including by email and notices posted on the Site.

9.5 Entire Agreement

These Terms constitute the entire agreement between you and Luma Voice AI regarding your use of the Site and the Grandma Ruth service and supersede all prior agreements. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
